As part of its bid for a foothold in the enterprise applications market, Microsoft Corp. initiated merger discussions late last year with ERP (enterprise resource planning) leader SAP AG. The talks ended several months ago after Microsoft decided the deal and the post-union integration would be too risky.

ERP is a different business than desktop software and OS.

Also, MS was the one that call the deal off because of risk:

But... No... Microsoft doesn't want to get into the larger CRM/ERP market... they just want to focus on small businesses, right, DOJ?
