The major differences are:
1. Win2000 supports Plug 'n Play (PnP), DVD-ROM's, CDRW (under Win2000 Pro)
2. Direct X 8 (for games)
3. Broader application support

Hardware requirements are pretty standard - Recommend at least an Intel based 266 and 128 mb of RAM.

It's much easier to configure for use in a network (peer to peer or LAN) than NT4. You might also want to consider WinXP Pro if you're running on a network.

Download the compatability checker from MS to make sure that your hardware is supported, along with your software.
