XP, unstability and bad processor?

I have been having problems with XP for a while, thought it was the motherboard (an asus motherboard for Athlons 1gig with a KTT133 (VT82C686A chipset), so i got MSI with the 686A that takes XP and such as well as Duron and Athlon, still unstable windows, loss of clickability, sudden freezes, lots of hard drive activity and death of ctrl-alt-del, then I tested the memory (via hardware at my nearest PCWorld store) not a problem there, new hard drive...nah..still the same problem...could it be a bad processor? or a bad copy of XP? any help?
